Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Whiptrader LLC, doing business as Whipbroker (“Whipbroker,” “we,” “us,” or “our”), and govern your use of the Whipbroker website, mobile applications, and related services (collectively, the “Service”). Please read them carefully. By accessing or using the Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account, listing a vehicle, purchasing credits, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” in these Terms refers to both you and that organization.

2. Description of the Service

Whipbroker is an online marketplace that connects private sellers of vehicles (cars, trucks, motorcycles, RVs, boats, aircraft, off-road equipment, and similar) with prospective buyers. Sellers create listings free of charge for standard-priced vehicles; buyers purchase credits to unlock seller contact information.

Whipbroker is not a party to any transaction between buyers and sellers.We do not buy, sell, broker, inspect, deliver, or take possession of vehicles. We do not provide financing, escrow (unless explicitly offered through a third-party partner), insurance, or title transfer services. All transactions take place directly between users.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction. The Service is intended for use within the United States. By using the Service, you represent that you meet these requirements.

4. Accounts and Registration

To list a vehicle, purchase credits, or send messages, you must create an account using a supported identity provider (Google, Apple, or email). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@whipbroker.com if you suspect unauthorized use.

Each user may maintain only one active account. Using multiple accounts to circumvent verification requirements, refund limits, or platform rules is grounds for suspension of all associated accounts.

5. Credits and Payments

Credits are a digital balance used on the Service to unlock seller contact information and pay certain platform service fees. Credit packs are sold through Stripe; pricing is displayed on the Credits page before purchase.

  • Credits do not expire.
  • Credits are non-transferable between accounts.
  • Credits have no cash value outside the Service and cannot be redeemed for cash.
  • Credits may be converted to pay platform service fees at a published ratio of 1 credit = $1.50 of fee value.
  • Where local law grants you an unconditional right to refund of digital goods, that right is preserved.

One credit unlocks the contact information of one listing for one buyer. Premium listings may require multiple credits to unlock — the required amount is displayed before the credit is spent.

6. Listings and Seller Responsibilities

By creating a listing, you represent and warrant:

  • You own the vehicle, or you have explicit authorization from the legal owner to list it for sale.
  • All information you provide (year, make, model, mileage, condition, title status, photos, description) is accurate and not misleading.
  • The vehicle is not subject to any undisclosed lien, claim, or encumbrance.
  • Photos depict the actual vehicle for sale and have not been digitally altered to misrepresent its condition.
  • You will respond in good faith to buyers who unlock your contact information.
  • Your listing complies with all applicable laws and is not for a vehicle whose sale is restricted (e.g., stolen, salvage-only-where-prohibited, unsafe for road use without disclosure).

Sellers who do not respond to a buyer within 5 days of an unlock will have that buyer’s credit automatically refunded. After the second such refund on a single listing, the listing will be automatically paused. See Section 10 for full refund rules.

7. Buyer Responsibilities

By using credits to unlock seller contact information, you agree:

  • To use seller contact information solely to pursue a good-faith purchase of the listed vehicle.
  • Not to resell, redistribute, scrape, or use seller contact information for marketing.
  • To conduct your own due diligence — including independent inspection — before any purchase. Whipbroker does not verify the condition, ownership, or legality of any vehicle.
  • To respect the seller’s communication preferences and to follow applicable consumer-protection laws if you are acting as a dealer.

8. Verification

Whipbroker offers identity verification (phone OTP via Twilio Verify and government ID verification via Stripe Identity), buyer financial-capacity verification packages, and per-listing ownership verification.

Verification confirms capacity and identity, not legitimacy. Buyer verification confirms that the buyer has presented the documents and signals indicated, not that any specific transaction is risk-free or that the buyer’s funds are of legitimate source. Whipbroker is not a financial institution and does not provide know-your-customer or anti-money-laundering services for any transaction. You remain responsible for your own compliance with applicable laws when engaging in a transaction.

9. Premium Listings

Listings with an asking price of $100,000 or above are categorized as Premium Listings. Premium Listings require either (a) seller identity verification at no cost; (b) approved per-listing ownership verification at no cost; or (c) payment of a one-time listing fee (currently $49) that is refunded if the listing is successfully sold on the Service.

Premium Listing fees, when paid, are refunded only when the seller marks the listing as sold and identifies a Whipbroker buyer who confirms the sale. Fees are not refunded if the listing is removed, expires, or is sold off-platform without identification of a Whipbroker buyer.

10. Refunds and Disputes

Credit refunds are issued automatically under the following conditions:

  • No seller response within 5 days— the buyer’s credit is automatically refunded and the seller is blocked from messaging in that conversation.
  • Buyer-confirmed sale— when a seller marks the listing sold and the buyer confirms, the buyer’s unlock credit is refunded.
  • Buyer-initiated refund request — the first refund request per buyer is auto-approved. Subsequent requests are queued for manual review.

Whipbroker does not mediate disputes between buyers and sellers regarding the vehicle itself (condition, payment, delivery, title transfer, financing, etc.). For high-value transactions, we recommend you use an independent escrow service.

Stripe charges (credit pack purchases, Premium Listing fees) are governed by Stripe’s refund policies. Disputed chargebacks may result in account suspension pending resolution.

11. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or to violate any law in your jurisdiction.
  • Post listings for stolen vehicles, vehicles with undisclosed material defects, or vehicles you do not have the right to sell.
  • Misrepresent your identity, your ownership of a vehicle, or any material fact in a listing or communication.
  • Harass, threaten, defraud, or attempt to defraud other users.
  • Attempt to circumvent the credit-unlock mechanism by posting contact information in listing descriptions, photos, or initial messages.
  • Use automated systems (bots, scrapers, crawlers) to access the Service without our prior written permission.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Resell, sublicense, or commercially exploit access to the Service.
  • Use the Service to send spam, phishing attempts, or other unsolicited commercial communications.

12. User Content and Intellectual Property

You retain ownership of the content you upload (listing photos, descriptions, messages). By uploading content, you grant Whipbroker a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content as necessary to operate the Service.

You represent that you have all rights necessary to grant this license, and that your content does not infringe the intellectual property, privacy, or other rights of any third party.

“Whipbroker,” the Whipbroker logo, and all related marks are the property of Whiptrader LLC. Other trademarks (vehicle manufacturer names, model names) belong to their respective owners and are used only for reference.

13. Suspension and Termination

We may suspend or terminate your account, at our discretion and without prior notice, if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or pose a risk to other users or the Service. We will attempt to notify you of termination by email when feasible.

On termination: existing listings will be removed, your wallet balance is forfeited if termination results from violation of these Terms, and we may retain transaction records as required by law.

You may close your account at any time by emailing support@whipbroker.com. Any unused credits at the time of voluntary closure may be refunded at our discretion if the closure is in good standing.

14. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Whipbroker does not warrant that listings are accurate, that sellers are who they claim to be (beyond what is shown in verification badges), that any transaction will be successful, or that the Service will be uninterrupted, error-free, or secure. We do not guarantee the condition, value, or legality of any vehicle listed on the Service.

15. Limitation of Liability

To the maximum extent permitted by law, Whipbroker’s total liability to you for any claim arising out of or relating to the Service is limited to the greater of $100 or the amount you paid to Whipbroker in the twelve months preceding the claim.

In no event will Whipbroker be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of vehicles — arising out of or relating to your use of the Service.

16. Indemnification

You agree to indemnify and hold harmless Whiptrader LLC, its officers, employees, and agents from any claim, demand, damage, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, your violation of any law, or your infringement of any third-party right.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict- of-laws principles. Any dispute arising out of these Terms or your use of the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, for material changes, notify users by email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
