Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Whipbroker LLC (“Whipbroker,” “we,” “us,” or “our”), and govern your use of the Whipbroker website, mobile applications, and related services (collectively, the “Service”). Please read them carefully. By accessing or using the Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account, listing a vehicle, unlocking a contact, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” in these Terms refers to both you and that organization.

2. Description of the Service

Whipbroker is an online marketplace that connects private sellers of vehicles (cars, trucks, motorcycles, RVs, boats, aircraft, off-road equipment, and similar) with prospective buyers. Sellers create listings free of charge for standard-priced vehicles; buyers pay a per-unlock fee to reveal seller contact information.

Whipbroker is not a party to any transaction between buyers and sellers.We do not buy, sell, broker, inspect, deliver, or take possession of vehicles. We do not provide financing, escrow (unless explicitly offered through a third-party partner), insurance, or title transfer services. All transactions take place directly between users.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction. The Service is intended for use within the United States. By using the Service, you represent that you meet these requirements.

4. Accounts and Registration

To list a vehicle, unlock a contact, or send messages, you must create an account using a supported identity provider (Google, Apple, or email). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@whipbroker.com if you suspect unauthorized use.

Each user may maintain only one active account. Using multiple accounts to circumvent verification requirements, refund limits, or platform rules is grounds for suspension of all associated accounts.

5. Fees and Payments

Responders pay a per-unlock fee to reveal another user’s contact information. On a for-sale listing the responder is a buyer unlocking the seller’s contact; on a Wanted ad (see Section 12) the responder is a seller unlocking the posting buyer’s contact. Fees are tier-based on the listing’s asking price (or the Wanted ad’s maximum budget) and are displayed before any charge:

  • Standard tier (under $25,000) — $4.99 per unlock ($2.99 for identity-verified responders).
  • Premium tier ($25,000 – $99,999) — $14.99 per unlock ($9.99 for identity-verified responders).
  • Luxury tier ($100,000 and above) — $39.99 per unlock; requires an identity-verified responder.

Verified-responder discount. Users who have completed phone and government-ID verification automatically receive a reduced unlock price as listed above, whether they are unlocking a listing or a Wanted ad. The discount applies on every unlock and requires no code; the verification status is checked at checkout. Verification is free; see Section 9.

All payments are processed through Stripe. Standard payment-card terms apply. Whipbroker does not store full payment-card numbers; only Stripe customer identifiers, payment intent IDs, and transaction amounts are retained.

Unlocking is one-time per listing per buyer — once a buyer has paid to unlock a listing’s contact information, that buyer retains permanent access to that listing’s contact info and will not be charged again for it.

Sellers do not pay any fee to list a vehicle priced under $100,000. Premium Listings (asking price $100,000 or above) are subject to the requirements described in Section 10.

6. Whipbroker Unlimited Pass

Whipbroker Unlimited is an optional one-time purchase providing expanded responder features for a fixed period.

  • Price and term. $100 one-time payment for a 30-day pass. Pricing may change with notice; changes never affect an already-purchased pass.
  • No auto-renewal. The pass expires at the end of its term. There is no recurring charge, no cancellation requirement, and no billing portal. Re-purchasing while a pass is active extends the expiry by 30 days from the current expiration date.
  • Verification prerequisite. Purchasing requires completed phone and government-ID verification (free; see Section 9).
  • Fair use.“Unlimited” is subject to fair-use limits designed to prevent automated harvesting of member contact information: currently 200 unlocks per pass term and 25 unlocks per day. These limits are well beyond ordinary buying activity. Whipbroker may suspend passes that exhibit scraping or resale behavior (see Section 8, Buyer Responsibilities).
  • Refunds. The pass is non-refundable once activated, except where required by law. Individual unlocks made under a pass carry no cash value; refund protection on those unlocks re-locks the contact information but does not extend or refund the pass.
  • Feature scope. Pass benefits (unlimited unlocks, one-click unlock, waitlist access, auto-unlock) are as described on the Whipbroker Unlimited page and may change with reasonable notice.

7. Listings and Seller Responsibilities

By creating a listing, you represent and warrant:

  • You own the vehicle, or you have explicit authorization from the legal owner to list it for sale.
  • All information you provide (year, make, model, mileage, condition, title status, photos, description) is accurate and not misleading.
  • The vehicle is not subject to any undisclosed lien, claim, or encumbrance.
  • Photos depict the actual vehicle for sale and have not been digitally altered to misrepresent its condition.
  • You will respond in good faith to buyers who unlock your contact information.
  • Your listing complies with all applicable laws and is not for a vehicle whose sale is restricted (e.g., stolen, salvage-only-where-prohibited, unsafe for road use without disclosure).

Sellers who do not respond to a buyer may have that buyer’s unlock fee refunded upon buyer request. After two approved no-response refunds on a single listing, the listing will be automatically paused. See Section 11 for full refund rules.

8. Buyer Responsibilities

By paying to unlock seller contact information, you agree:

  • To use seller contact information solely to pursue a good-faith purchase of the listed vehicle.
  • Not to resell, redistribute, scrape, or use seller contact information for marketing.
  • To conduct your own due diligence — including independent inspection — before any purchase. Whipbroker does not verify the condition, ownership, or legality of any vehicle.
  • To respect the seller’s communication preferences and to follow applicable consumer-protection laws if you are acting as a dealer.

9. Verification

Whipbroker offers two complementary identity verification services:

  • Phone verification — a one-time SMS code sent via Twilio Verify to confirm control of a US mobile number.
  • Government-ID verification — document authentication and selfie/liveness check performed by our third-party identity verification provider (currently Persona). The provider processes the ID image and selfie; Whipbroker receives only the verification result and the date of the check. See our Privacy Policy Section 7 for the biometric-data disclosure.

Verification confirms identity, not legitimacy. Verification confirms that the user has presented the documents and signals indicated, not that any specific transaction is risk-free or that funds are of legitimate source. Whipbroker is not a financial institution and does not provide know-your-customer or anti-money-laundering services for any transaction. You remain responsible for your own compliance with applicable laws when engaging in a transaction.

10. Premium Listings

Listings with an asking price of $100,000 or above are categorized as Premium Listings. Publishing a Premium Listing requires both of the following:

  • Seller identity verification — phone and government-ID verification (free; see Section 9). There is no free path around this requirement; ownership-only verification is no longer accepted for Premium Listings.
  • Premium listing fee — a one-time fee of $49 per listing, charged via Stripe at publish. The fee is non-refundable once the listing is published, except in cases where the listing is removed by Whipbroker for policy violations not attributable to the seller.

Contact information on a Premium Listing may only be unlocked by buyers who have themselves completed phone and government-ID verification.

11. Refunds and Disputes

Unlock refunds are issued under the following conditions:

  • Buyer-initiated refund request — submitted from the Support page with a reason (no seller response, not as described, suspected scam, or other). The first refund request per buyer is auto-approved; subsequent requests are queued for manual review.
  • Buyer-confirmed sale— when a seller marks the listing sold and the buyer confirms, the buyer’s unlock is refunded as a thank-you for completing the deal on-platform.

Approved refunds are issued via the same method the buyer used to pay: Stripe charges are returned to the original payment method; unlocks made under a Whipbroker Unlimited pass re-lock the contact information (the pass itself is not extended or refunded); free unlock tokens are reissued as a replacement token.

Whipbroker does not mediate disputes between buyers and sellers regarding the vehicle itself (condition, payment, delivery, title transfer, financing, etc.). For high-value transactions, we recommend you use an independent escrow service.

All Stripe charges (per-unlock fees, Unlimited pass purchases, Premium Listing fees) are also governed by Stripe’s refund policies. Disputed chargebacks may result in account suspension pending resolution.

12. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or to violate any law in your jurisdiction.
  • Post listings for stolen vehicles, vehicles with undisclosed material defects, or vehicles you do not have the right to sell.
  • Misrepresent your identity, your ownership of a vehicle, or any material fact in a listing or communication.
  • Harass, threaten, defraud, or attempt to defraud other users.
  • Attempt to circumvent the contact-unlock mechanism by posting your contact information directly in listing descriptions, photos, or initial messages — buyers should always pay the unlock fee (or use their Whipbroker Unlimited pass) to obtain contact info.
  • Use automated systems (bots, scrapers, crawlers) to access the Service without our prior written permission.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Resell, sublicense, or commercially exploit access to the Service.
  • Use the Service to send spam, phishing attempts, or other unsolicited commercial communications.

13. User Content and Intellectual Property

You retain ownership of the content you upload (listing photos, descriptions, messages). By uploading content, you grant Whipbroker a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content as necessary to operate the Service.

You represent that you have all rights necessary to grant this license, and that your content does not infringe the intellectual property, privacy, or other rights of any third party.

“Whipbroker,” the Whipbroker logo, and all related marks are the property of Whipbroker LLC. Other trademarks (vehicle manufacturer names, model names) belong to their respective owners and are used only for reference.

14. Suspension and Termination

We may suspend or terminate your account, at our discretion and without prior notice, if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or pose a risk to other users or the Service. We will attempt to notify you of termination by email when feasible.

On termination: existing listings will be removed, any active Whipbroker Unlimited pass will be deactivated (non-refundable per Section 6), any unredeemed unlock tokens will be forfeited if termination results from violation of these Terms, and we may retain transaction records as required by law.

You may close your account at any time by emailing support@whipbroker.com. Voluntary closure does not automatically refund prior charges; refundability follows the rules in Section 11.

15. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Whipbroker does not warrant that listings are accurate, that sellers are who they claim to be (beyond what is shown in verification badges), that any transaction will be successful, or that the Service will be uninterrupted, error-free, or secure. We do not guarantee the condition, value, or legality of any vehicle listed on the Service.

16. Limitation of Liability

To the maximum extent permitted by law, Whipbroker’s total liability to you for any claim arising out of or relating to the Service is limited to the greater of $100 or the amount you paid to Whipbroker in the twelve months preceding the claim.

In no event will Whipbroker be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of vehicles — arising out of or relating to your use of the Service.

17. Indemnification

You agree to indemnify and hold harmless Whipbroker LLC, its officers, employees, and agents from any claim, demand, damage, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, your violation of any law, or your infringement of any third-party right.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict- of-laws principles. Any dispute arising out of these Terms or your use of the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, for material changes, notify users by email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
